Buyer Terms (draft for counsel)

1. Who you are dealing with

You are subscribing to skill packs published by [Seller] on ProvenSkills. [Seller] is the merchant: it sets the price, bills you through its own Stripe account, issues refunds, and licenses the skills to you. ProvenSkills, operated by Lisby Holdings LLC (doing business as ProvenSkills), provides the storefront, checkout, delivery into your AI app, and support for the connection. These terms cover both.

2. Your subscription

Your subscription is per organization, not per person. Anyone your organization admin invites can connect and use the skills. It renews automatically at the price and cadence shown at checkout ([$X] every [month/year]) until you cancel. You can cancel at any time in the billing portal; access continues to the end of the paid period. [Seller]'s refund rule is shown on the pack page and at checkout.

If a payment fails, we will email your admin. Access continues while payment is retried and ends if the subscription becomes unpaid or is canceled.

3. The license

[Seller] licenses the skills to your organization for internal use. You may use them, adapt them internally, and keep copies. You may not redistribute, resell, publish, or share them outside your organization, or use them to build a product that competes with [Seller]'s packs. The content is confidential to your organization. Copies served to you carry an identifier that links them to your organization. The license ends with your subscription; copies you retain stay subject to it. [Seller] may supply its own license text, which appears on the pack page and replaces this section where they differ.

4. Connecting your AI app

You connect by adding ProvenSkills's connector to your AI app and signing in. The connector can see your login, which organization you belong to, and which skill you used and when. It cannot see your conversations, and it does not take actions in your app beyond returning skill content. Your organization admin can disconnect any member at any time. Your AI vendor's own terms govern your use of that app.

5. What you may not do

Use automated means to bulk-extract skill content; share your login; use the skills for anything illegal; attempt to circumvent access controls.

6. Updates and changes

[Seller] may update skills at any time; your app receives the current version. [Seller] may change prices with at least 30 days' notice before they apply to an active subscription. Either of us may end this agreement for breach.

7. Data

We hold your admin's email, your organization's members, your connections, and a log of skill use (never conversation content). Stripe holds your payment details. See the Privacy Policy for the full picture. Marketing email from [Seller] is sent only if you opted in at checkout; account and update email is part of the service.

8. Warranties and liability

Skills produce content and instructions that your AI app acts on. You are responsible for reviewing outputs before relying on them. Neither [Seller] nor ProvenSkills warrants that outputs are accurate or fit for a purpose. Liability of each of us is limited to the amount you paid in the 12 months before the claim. Nothing here limits liability that cannot be limited by law.

9. Disputes
